Terms of Service

1. Acceptance of Terms
By accessing or using Chatie ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. We may update these terms at any time; continued use constitutes acceptance.
2. Description of Service
Chatie is a multi-tenant SaaS platform that unifies customer messages from LINE, Messenger, Instagram, WhatsApp, Email, Web Chat, and Shopline into a single inbox with AI-powered auto-reply. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
3. User Accounts
You may register via email/password or Google OAuth. You are responsible for maintaining the security of your account credentials and for all activities under your account. You must provide accurate information and keep it up to date. Each organization ("Tenant") is an isolated workspace; users belong to exactly one Tenant with a designated role (owner, admin, or agent).
4. Your Data and Content
You retain full ownership of all data you and your customers generate through the Service, including conversations, contacts, knowledge base articles, and configuration. We do not claim any intellectual property rights over your content. You grant us a limited license to process your data solely to provide and improve the Service.
5. AI and Third-Party Services
The AI auto-reply feature sends conversation messages and knowledge base content to your chosen LLM provider (OpenAI or Anthropic) using API keys you provide. You are responsible for your own API key usage and costs. AI-generated responses are provided on a best-effort basis; we do not guarantee accuracy. You should review and configure AI behavior, tone, and boundaries through the system prompt and skill settings.
6. Channel Integrations
When you connect messaging channels (LINE, Meta platforms, WhatsApp, etc.) or e-commerce platforms (Shopify, Shopline), you authorize Chatie to receive and send messages, access order/customer data, and perform actions on your behalf through their APIs. Each platform has its own terms of service and data policies that you must also comply with. Webhook signatures are verified to ensure message authenticity.
7. MCP and Custom Tools
You may connect custom tools and APIs via the MCP (Model Context Protocol) standard. You are solely responsible for the security, availability, and behavior of any MCP servers you connect. Data exchanged between the AI agent and your MCP servers passes through the Service but is not stored beyond the conversation context.
8. Acceptable Use
You agree not to: use the Service for any unlawful purpose; send spam or unsolicited messages; transmit malware or malicious content; attempt to access other tenants' data; interfere with the Service's operation; or violate the terms of any connected platform. We may suspend or terminate accounts that violate these rules.
9. Service Availability
We aim for high availability but do not guarantee uninterrupted service. The Service depends on third-party infrastructure (databases, Redis, LLM providers, messaging platforms). Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by third-party service outages.
10. Limitation of Liability
The Service is provided "as is" without warranties of any kind, express or implied. We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost revenue, data loss, or business interruption. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. This limitation applies regardless of the legal theory.
11. Termination
You may close your account at any time. We may terminate or suspend your access for violation of these terms, non-payment, or inactivity. Upon termination, your data will be retained for 30 days to allow for export, after which it will be permanently deleted. Channel connections and integrations will be disconnected immediately upon termination.
12. Governing Law
These terms are governed by the laws of the Republic of China (Taiwan). Any disputes shall be submitted to the jurisdiction of the Taipei District Court.
